           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On December 10, 2020, our board of directors appointed Elizabeth (Liz) Jenkins to join the board of directors, effective immediately. Ms. Jenkins will serve until the earlier of (a) the next annual meeting of our stockholders, (b) the effectiveness of the next action by written consent of stockholders in lieu of an annual meeting, and (c) her death, resignation, or removal. Ms. Jenkins will serve on the audit committee of our board of directors.

Ms. Jenkins has served as Chief Financial Officer at Be Sunshine, LLC (Hello Sunshine) since August 2018. Prior to joining Hello Sunshine, Ms. Jenkins worked at Sony Interactive Entertainment as the Head of Strategic Ventures for PlayStation from June 2017 to August 2018, the Creative Cartel as interim Co-Chief Executive Officer from October 2015 to June 2016, and Media Rights Capital from October 2008 to May 2015, most recently serving as Senior Vice President of Corporate Development and Strategy. She currently serves on the board of GLAAD. Ms. Jenkins holds an MBA from The Wharton School at the University of Pennsylvania and a BA in Economics from Stanford University.

There are no family relationships between Ms. Jenkins and any of our directors or executive officers, and she has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K. Further, there is no arrangement or understanding between Ms. Jenkins and any other persons or entities pursuant to which Ms. Jenkins was appointed as a director.

Ms. Jenkins will be compensated as a member of our board of directors under the terms of our Non-Employee Director Compensation Policy.
