Sogefi S p A : Candidate lists for the appointment of the Board of Statutory Auditors

SOGEFI: CANDIDATE LISTS FOR THE APPOINTMENT OF THE BOARD OF STATUTORY AUDITORS

Milan, 2 april 2021 - Following the press release dated 30 March 2021, Sogefi S.p.A. hereby announces that on 31 March 2021, within the prescribed term, the shareholder YODA Società Semplice, holding n. 2,000,000 ordinary shares SOGEFI, representing 1.665% of the share capital, presented a list of candidates for the appointment of the Board of Statutory Auditors for the years 2021-2022-2023 to be submitted to the Ordinary General Meeting called for 23 April 2021 on first call and for 26 April 2021 on second call.

The shareholder YODA Società Semplice has confirmed the absence of direct or indirect relationship, as per art. 148, par. 2, of Legislative Decree n. 58/1998 and art. 144-quinques of Consob Regulation n. 11971/1999, with the shareholders of Sogefi S.p.A., in general, and, in particular, with the shareholders holding a controlling or majority shareholdings, including via joint control, in Sogefi S.p.A.

Therefore, as of to-date, two candidate lists for the appointment of the Board of Statutory Auditors have been submitted, as follows:

1. List n. 1 submitted by the shareholder CIR S.p.A., holding n. 66,830,988 ordinary shares SOGEFI, representing 55.64% of the share capital:

   2. Rita Rolli
   3. Piera Tula

Candidates for the office of Alternate Auditor

   2. Anna Maria Allievi
   3. Mauro Girelli
2. List n. 2 submitted by the shareholder YODA Società Semplice, holding n. 2,000,000 ordinary shares SOGEFI, representing 1.665% of the share capital:
