Mr. Panay?s decision to resign results from his acceptance of a new professional opportunity at Amazon.com, Inc. There were no disagreements with the Company on any matter relating to the Company?s operations, policies or practices that led to his resignation. In connection with Mr. Panay?s resignation, the Board appointed Joanna Coles to serve on its Audit Committee and decreased its size from eight to seven directors.
