Sophia Holdings Co.,Ltd. announced a private placement of 390,000 common shares at an issue price of ¥672 per share for the gross proceeds of ¥262,080,000 and 1,550 series 1 stock acquisition rights at a price of ¥7,640 per stock acquisition right for the gross proceeds of ¥11,842,000; for aggregate total gross proceeds of ¥273,922,000 on October 13, 2023. The transaction will include participation from returning investor E-Bond Holdings Co., Ltd. for 300,000 shares and 200 stock acquisition rights and new investors Japan Electric Technology System Co.,Ltd. for 10,000 shares and 150 stock acquisition rights, Hitoshi Sashida for 30,000 shares and 450 stock acquisition rights, Daiichi Soft, K.K. for 15,000 shares and 225 stock acquisition rights, Kazutoshi Kagetani for 15,000 shares and 225 stock acquisition rights, Daisuke Fukumitsu for 15,000 shares and 225 stock acquisition rights and Kazuhiro Kimura for 5,000 shares and 75 stock acquisition rights. The transaction has been approved at the board of directors meeting of the company.
The transaction is expected to close on October 30, 2023.
