Sopra Steria announces that it has finalized the acquisition of a majority stake in CS Group, presented as a major player in the design, integration and operation of mission-critical systems.

This acquisition was carried out within the framework of the acquisition agreement signed on November 18, 2022, to acquire the CS Group shares held by Yazid Sabeg, Chairman of the Board of Directors of the company, and Eric Blanc-Garin, Chief Executive Officer, and their joint holding company
Duna & Cie, representing around 29.73% of CS Group capital (the "main block"), for a price of 11.5 euros per share.

It was also carried out following the exercise of the put options granted on July 27, 2022 by Cira Holding and the founders of Novidy's to Sopra Steria, concerning respectively around 29.15% and 6.38% of the company's capital, for a price per share equal to that of the main block.

Following this acquisition, and taking into account the 9.80% of the capital and 13.90% of the voting rights already held, Sopra Steria now holds 75.06% of the capital and 76.21% of the voting rights of CS Group.

CS GROUP will be consolidated in Sopra Steria's accounts from March 1, 2023.
