O TC Traders Club S.A. ("Companhia" ou "TC") em cumprimento ao disposto no § 4º do artigo 157 da Lei n.º 6.404, de 15 de dezembro de 1976, conforme alterada ("Lei das S.A.") e na regulamentação da CVM, em especial a Resolução CVM n.º 44, de 23 de agosto de 2021, comunica aos seus acionistas e ao mercado em geral que, no dia 6 de agosto de 2022, foi celebrado o Terceiro Aditivo ao Acordo de Acionistas da Companhia ("Aditivo").
O Aditivo trata de alteração no item "a" da Cláusula 9.1 do Acordo de Acionistas que visa antecipar a segunda data a partir da qual os Acionistas poderão solicitar a desvinculação de parcelas de ações de sua titularidade para a data de assinatura do Aditivo, ou seja, 6 de agosto de 2022, mantendo-se as demais deliberações nos prazos originalmente previstos.
A cópia do Aditivo foi arquivada na sede da Companhia e já se encontra disponível para consulta de todos os seus acionistas e para o mercado em geral nas páginas eletrônicas da Companhia e da CVM.
Por fim, o TC manterá seus acionistas e o mercado em geral devidamente informados sobre eventuais desdobramentos acerca deste Fato Relevante.

Third Amendment to the Shareholders' Agreement
TC Traders Club S.A. ("Company" or "TC") in compliance with the provisions of §4, Article 157 of Law 6404, of December 15, 1976, as amended ("Brazilian Corporation Law") and with the Securities and Exchange Commission (CVM) regulation, specifically CVM Resolution 44, dated August 23, 2021, hereby informs its shareholders and the market in general that the Third Amendment to the Company's Shareholders' Agreement ("Amendment") was signed on August 6, 2022.
The Amendment addresses change in item "a" of Clause 9.1 of the Shareholders' Agreement which aims to anticipate the second date from which Shareholders may request the release of portions of shares held by them to the date of signature of the Amendment, i.e., August 6, 2022, maintaining the other releases within the originally foreseen deadlines.
A copy of the Amendment was filed at the Company's headquarters and is currently available for consultation by all shareholders and the market in general on the Company's and CVM's websites.
Finally, TC will keep its shareholders and the market in general duly informed of any developments regarding this Material Fact.
