The Keepers Holdings, Inc. (PSE:KEEPR) entered into a letter of intent to acquire 50% stake in Bodegas Williams & Humbert, S.A.U. on August 26, 2022. The transaction was approved by The board of directors of Keepers Holdings. Isla Lipana and Co, Advisory arm provided Fairness Opinion on the transaction. The Keepers Holdings, Inc. (PSE:KEEPR) entered into an agreement to acquire 50% stake in Bodegas Williams & Humbert, S.A.U. for €88.75 million on September 15, 2022. The consideration will be paid in cash. The consideration value is based on the independent valuation undertaken by PricewaterhouseCoopers (PwC). The transaction is conditional upon completion of legal and closing requirements. On September 14, 2022 The board of The Keepers Holdings, Inc. (PSE:KEEPR) approved the deal. The total asset of Bodegas Williams Humbert SA as of December 31, 2021 amounted to €124 million.
