Total Voting Rights

21 May 2018

The Board of The Renewables Infrastructure Group Limited (the 'Company' or 'TRIG') announces that it has today issued for cash 7 million new ordinary shares of no par value in the Company ('New Ordinary Shares') at a price of 104.6p per New Ordinary Share (the 'Issue'). The New Ordinary Shares were issued pursuant to the authority to dis-apply pre-emption rights granted by the Company's shareholders at the Company's Annual General Meeting in May 2018.

The net proceeds of the Issue will be applied towards repaying amounts drawn under the Company's revolving acquisition facility with Royal Bank of Scotland plc, National Australia Bank Limited and ING Bank N.V.

The New Ordinary Shares will not rank for the dividend declared on 10 May 2018, which will be paid on 29 June 2018 to shareholders on the register at close of business on 18 May 2018.

Application for Admission

Application will be made to the Financial Conduct Authority for admission of the New Ordinary Shares to the premium segment of the Official List and to London Stock Exchange plc for admission to trading of the New Ordinary Shares on its main market for listed securities (the 'Main Market'), (together, 'Admission'). It is expected that Admission will become effective, and that dealings in the New Ordinary Shares on the Main Market will commence, on Friday, 25 May 2018.

Total Voting Rights

Immediately following Admission, the Company's issued share capital will consist of 1,022,684,730 Ordinary Shares with voting rights. This figure may be used by shareholders in determining the denominator for the calculation by which they will establish if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
