DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of Tianjin Tianbao Energy Co., Ltd. (the "Company") in respect of the major transaction in relation to the acquisition of 51% equity interest in Tianjin Jinneng Lingang Thermal Power Co., Ltd. and proposed provision of guarantee for Tianjin Jinneng Lingang Thermal Power Co., Ltd. dated February 17, 2020 (the "Announcement"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among other things, further details about the Equity Transfer Agreement and the transactions contemplated thereunder, the proposed provision of the Guarantee for the Target Company and other information required to be disclosed under the Listing Rules, will be despatched by the Company to the Shareholders on or before March 9, 2020.

As additional time is required for the Company to prepare and finalize certain information to be included in the Circular, it is currently expected that the date of despatch of the Circular and the notice of the EGM will be postponed to a date falling on or before March 13, 2020.
