TOKAI Holdings Corporation (the "Company") announces that TOKAI Communications Corporation (Headquarters:

Shizuoka City, Shizuoka; President and Representative Director: Yasuhiro Fukuda; hereinafter referred to as "TOKAI

COM"), a consolidated subsidiary of the Company that engages in the information and telecommunications business, has concluded a share transfer agreement to acquire shares in J-support Co., Ltd. (Headquarters: Chuo-ku, Fukuoka City, Fukuoka; President and Representative Director: Yukihiro Shiraishi; hereinafter referred to as "J-support") and converted J-support into its consolidated subsidiary. Details are as follows.

Details

1. Reasons for the share acquisition

In recent years, the size of the logistics industry has been expanding due to factors such as the growing demand for Internet shopping following the outbreak of COVID-19. Logistics plays an important role in people's daily lives and in the continuation of business in various industries. On the other hand, the logistics industry faces challenges such as achieving the efficient delivery of an increasing number of parcels and dealing with labor shortages. The use of information and communication technology (ICT) is expected to be one means to solve these problems.

In this environment, J-support is a company that specializes in developing solutions for the logistics industry and operates business nationwide. The company has steadily developed its business based on the strengths of the solutions it has developed independently to support operations at logistics centers and warehouses, as well as its development capabilities that enable the company to propose and build systems that meet customer needs. These solutions and capabilities, together with a deep understanding of operations in the logistics industry, have been developed through years of business.

Meanwhile, TOKAI COM, as the company responsible for the information and telecommunications business of the TOKAI Group, supports the development of the Group in the ICT field under the vision of TLC (Total Life Concierge), which provides comprehensive and meticulous support for the comfortable lives of its customers, and offers a wide range of information and telecommunications business services for both individual and corporate customers. In its business for corporate clients, TOKAI COM provides optimal system integration services that are close to its clients' businesses, particularly in the areas of network and cloud computing, leveraging its experience as a telecommunications carrier, data center operator, and system integrator, as well as its technology and know-how backed by an extensive implementation and operational track record over the years.

The acquisition of shares this time was based on the Company's judgment that it will be able to provide services that meet a wider range of future needs for the customers of the two companies, including strengthening the system development structure and expanding the scope of services offered, by combining J-support's solution development capabilities for the logistics industry with TOKAI COM's technological capabilities in the network and cloud domains.

Going forward, the Company will promote collaboration between two companies so they will be able to grow each other's businesses, leveraging their strengths and sharing management resources.

TOKAI COM will continue to grow as a company that can address a wide range of business continuity issues by expanding its network and cloud businesses and strengthening its ability to respond to diverse system development needs, thereby staying close to its customers' businesses.
