Notice of Transition to a Company with a Nominating Committee, etc.
Tokyo Gas Co., Ltd. hereby announces that it has decided to transition from a company with an audit and supervisory board to a company with a nominating committee, etc., subject to approval at the annual general meeting of shareholders to be held in June 2021.
Purpose of Transition
As an energy frontier corporate group, Tokyo Gas has taken on the challenge of realizing a sustainable society, and has brought about changes and growth through its energy business based on the spirit of "challenge and innovation." Moreover, in November 2019, Tokyo Gas established its group management vision, "Compass 2030," in which the Group is committed to the challenge of achieving net-zero CO2 emissions in the midst of major environmental changes such as the trend toward decarbonization and digitalization.
Given the unprecedented changes in the environment in the history of our group, we have decided that we need to make a transformation to further strengthen our management base. As part of this effort, we will shift to a company with a nominating committee, etc. and strengthen our corporate governance to allow management to more closely get involved in the "challenge and innovation."
Transitioning to a company with a nominating committee, etc. aims at ensuring swift decision-making and enhancing the supervisory function of the Board of Directors to effectively respond to changes in the business environment and the expansion of the business areas.
Timing of Transition
Tokyo Gas will be transitioned to a company with a nominating committee, etc., upon approval for necessary amendments to the Articles of Incorporation at the annual general meeting of shareholders scheduled to be held in June 2021.
Others
The details of proposed amendments to the Articles of Incorporation will be announced as soon as they are determined.

Tokyo Gas Co., Ltd. specializes in production and distribution of natural gas. Net sales break down by activity as follows:
