Tokyo Sangyo Co., Ltd. (TSE:8070) entered into an agreement to acquire KDI Global Management Co., Ltd. from Fumitake Kikuchi on November 20, 2018. Under the terms of the transaction, Tokyo Sangyo Co., Ltd. will acquire 0.02 million shares of KDI Global Management. Upon completion, Tokyo Sangyo will carry out an absorption-merger with KDI Global Management and its subsidiary, Kikuden International, Ltd. effective April 1, 2019. For the year ended December 2017, KDI Global Management reported total and net assets of ¥80 million. The transaction was resolved by Tokyo Sangyo Co., Ltd. on November 20, 2018. The transaction is expected to close on January 17, 2019. As of January 11, 2019, it was decided to postpone the closing of the deal. As of July 29, 2019, transaction is expected to close on October 1, 2019.
