(Stock Code: 3886) SUSPENSION OF TRADING

This announcement is made by Town Health International Medical Group Limited ("Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board ("Board") of directors ("Directors", each a "Director") of the Company announces that the Securities and Futures Commission ("SFC") has on 27 November 2017 issued a direction under Section 8(1) of the Securities and Futures (Stock Market Listing) Rules ("Rule 8(1) Direction") to suspend trading in the shares of the Company with effect from 9:00 a.m. on 27 November 2017 as it appears to the SFC that:

1. the Company's interim report for the six months ended 30 June 2016 published by the Company on 7 September 2016 and the Company's annual report for the year ended 31 December 2016 published by the Company on 27 April 2017 included materially false, incomplete or misleading information;

2. it is necessary or expedient to do so in the interest of maintaining an orderly and fair market in the shares of the Company; and

3. it is in the interest of the investing public or in the public interest, or it is appropriate for the protection of investors generally or for the protection of investors in the shares of the Company to do so.

The Company is entitled to make representation in respect of the Rule 8(1) Direction to the SFC under Rule 9 of the Securities and Futures (Stock Market Listing) Rules. The Company is seeking legal advice as to its rights. The Company is considering how to address and resolve the SFC's concerns and resume trading of its shares. In particular, the Company is seeking legal advice as to the merits and procedures of applying for review of the Rule 8(1) Direction.

The Company will make further announcement(s) as and when appropriate.
