CHANGE OF AUDITORS

The Board announces that Deloitte resigned as the auditors of the Group with effect from 15

February 2018.

The Board also announces that, with the recommendation of the audit committee of the Board, Moore Stephens have been appointed as the new auditors of the Group with effect from 15 February 2018 to fill the casual vacancy following the resignation of Deloitte and to hold office until conclusion of the next annual general meeting of the Company.

This announcement is made by Town Health International Medical Group Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

The board ("Board") of directors ("Directors") of the Company announces that Deloitte Touche Tohmatsu ("Deloitte") resigned as the auditors of the Group with effect from 15

February 2018. The Board also announces that, with the recommendation of the audit committee of the Board, Moore Stephens CPA Limited ("Moore Stephens") have been appointed as the new auditors of the Group with effect from 15 February 2018 to fill the causal vacancy following the resignation of Deloitte and to hold office until conclusion of the next annual general meeting of the Company.

Deloitte stated in their letter of resignation that, as part of their normal procedures which include an annual consideration of whether they would continue to act for their audit clients, having taken into account many factors including the professional risk associated with the audit, the level of audit fees and their available internal resources in light of their current work flows, they decided to tender their resignation as the auditors of the Group.

Deloitte, in their letter of resignation, also confirmed that there are no matters in connection with their resignation that need to be brought to the attention of holders of securities or creditors of the Company. The Board has confirmed that there is no disagreement or unresolved matter between the Company and Deloitte, and that they are not aware of any matters in relation to the resignation of Deloitte as auditors of the Group that need to be brought to the attention of holders of securities of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Deloitte for their professional services and support rendered to the Group in the past years.
