According to the Board of Directors meeting of Sky Tower Pubic Company Limited held on February 16, 2024, it was resolved to approve the Company to use its remaining free cash flow to generate returns by acquiring 4 condominium units from EMC Public Company Limited in the URBITIA Thonglor project. The project is located in a prime location in CBD, close to the Thonglor BTS station, which is surrounded by super luxury residential projects and leading shopping malls. The properties are fully furnished and offered at a price below the market selling price of surrounding projects and below the appraised value of the Land Department.

Through this transaction, the Company has obtained favorable purchase terms which enable it to achieve a good return on investment. It should be noted that the mentioned transaction falls into the category of related-party transaction, and the acquisition of assets as the following details: Date of Transaction. When calculating the size of the transaction compared to the Company's NTA, the size of transaction ratio will be 2.98%. The Company has no other connected transactions with the same related party during the past 6 months. The aforementioned transaction has a size more than 0.03% but less than 3.00% of the Company's NTA.

Therefore, it requires approval from the Company's Board of Directors and disclosure of information regarding to the connected transaction to the Stock Exchange of Thailand.
