Individuate le competenze ottimali dei candidati di tale eventuale lista

Forlì, 13 aprile 2022 - Facendo seguito a quanto comunicato al mercato da ultimo il 23 febbraio scorso, Unieuro S.p.A. (Euronext STAR Milan: UNIR), il leader nella distribuzione di elettronica di consumo ed elettrodomestici in Italia, rende noto che, in data odierna, è stato messo a disposizione del pubblico un documento illustrativo del processo finalizzato alla presentazione della eventuale lista da parte del Consiglio di Amministrazione uscente per il rinnovo dell'organo amministrativo della Società, in vista della prossima Assemblea degli Azionisti.

Tale documento, redatto con il supporto del consulente esterno Management Search e disponibile sul sito internet della Società all'indirizzo Unieurospa.com nella sezione

Corporate Governance / Assemblee degli Azionisti / Assemblea 2022 nonché presso il meccanismo di stoccaggio autorizzato eMarket STORAGE(www.emarketstorage.com):

• • espone le varie fasi in cui il processo si articola con la relativa cronologia e i soggetti e gli organi di volta in volta coinvolti, e

• • reca l'indicazione delle competenze ottimali dei candidati della possibile lista del Consiglio di Amministrazione, anche alla luce degli "Orientamenti sulla dimensione e composizione del nuovo Consiglio di Amministrazione", come pubblicati in data 13 gennaio 2022.

La documentazione relativa all'eventuale lista del Consiglio di Amministrazione uscente ed ai singoli candidati, così come prevista dalla normativa vigente, verrà messa a disposizione del pubblico a seguito della convocazione dell'Assemblea degli Azionisti, secondo le modalità e i termini di legge.

Optimal skills of the candidates of the possible slate identified

Forlì, 13 April 2022 - Further to what has been communicated to the market lastly on 23 February 2022, Unieuro S.p.A. (Euronext STAR Milan: UNIR), the leading distributor of consumer electronics and household appliances in Italy, announces that today it has published a document illustrating the process aimed at the possible presentation of a slate by the outgoing Board of Directors for the renewal of the Company's administrative body, in view of the next Shareholders' Meeting.

This document, drawn up with the support of the external advisor Management Search and made available on the Company's website at Unieurospa.com, in the Corporate Governance / Shareholders' Meetings / 2022 Shareholders' Meeting section, as well as through the mechanism for the central storage of regulated information "eMarket STORAGE"

(www.emarketstorage.com):

• • sets out the phases of the process, their timing, as well as the persons and bodies involved, and

• • indicates the optimal skills of the candidates of the possible slate of the Board of Directors, also in light of the "Guidelines from the Board of Directors of Unieuro S.p.A. to the shareholders on the size and composition of the new Board of Directors", as published on 13 January 2022.

The documentation relating to the slate of the outgoing Board of Directors, if any, and to each candidate of said slate, as required by current legislation, will be made available to the public following the call of the Shareholders' Meeting, in accordance with the modalities and the terms provided the law.
