Value HR Co.,Ltd. announced that it has entered into agreement for a private placement of 490,000 shares at an issue price of ?1,986 per share for gross proceeds of ?973,140,000 in November 22, 2021. The transaction will include participation from Michio Fujita 100,000 shares, Toshi Yoshinari 20,000 shares, Daido Life Insurance Company for 120,000 shares, Amano Souken Co.,Ltd. for 120,000 shares and Houken Corp. for 120,000 shares. The transaction was approved by the board of directors of the company. The company will issue shares through third-party allotment. The transaction is expected to close on December 16, 2021.
Value HR Co., Ltd. is principally engaged in the provision of health management services utilizing its originally-developed Value Cafeteria system. The Company operates in two business segments, which including Value Cafeteria segment and Human Resource (HR) management segment. Through its Value Cafeteria, an integrated health care system, the Value Cafeteria segment provides Value Cafeteria system, including the provision of physical checkup reservation system, physical checkup result management system and others, as well as provides agency work related to medical examinations. The HR Management segment includes health insurance union services and staffing.
