CHANGE IN SENIOR MANAGEMENT

The board of directors (the "Board") of VTech Holdings Limited (the "Company", together with its subsidiaries, the "Group") hereby announces that Mr. TONG Chi Hoi ("Mr. TONG") has resigned as the President of Telecommunication Products and the directorships in the subsidiaries of the Group due to his pursuing of other career opportunities with effect from 30 April 2019.

Mr. TONG confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company. The Board would like to express its sincere gratitude for the contributions by Mr. TONG to the Group during the tenure of his office.

The Board is pleased to announce that Mr. Hillson CHEUNG Hoi has been appointed as the President of Telecommunication Products with effect from 30 April 2019, in addition to his current responsibilities for the manufacturing operations of both the electronics learning products and telecommunication products.
