Director retirement and appointment

Wesfarmers Limited has announced the retirement of Mr Wayne Osborn as a non-executive director and the appointment of Mr Alan Cransberg as a non-executive director.

Mr Osborn will retire as a non-executive director by rotation at the conclusion of the Annual General Meeting on 21 October 2021 and will not seek re-election. Wesfarmers Chairman Michael Chaney said Mr Osborn had made an outstanding contribution to the company since joining the Board in 2010.

"Wayne has brought a wealth of knowledge from his operating experience in the resources and energy sectors as well as his extensive skills as a director," Mr Chaney said. "His keen focus on all aspects of business and his proficiency across key areas of safety, remuneration and capital allocation have helped shape the direction of Wesfarmers during his 11-year tenure with the Board. Wayne retires with our sincere thanks and best wishes."

Mr Osborn said it has been a privilege to contribute to Wesfarmers throughout this period.

"During my time at Wesfarmers, the company has continued to evolve, seizing new opportunities for growth and always with a focus on its shareholders and all stakeholders. It has been a great pleasure to contribute to this great Australian organisation."

The appointment of Mr Cransberg (pictured below) as a non-executive director will take effect from 1 October 2021.

Mr Cransberg had a successful career with Alcoa spanning 36 years, including managing mining, refining, smelting and technology activities in Australia before continuing his career in the USA with responsibility for global metals manufacturing. He returned to Australia in 2008 as Managing Director of Alcoa Australia and President Global Refining before retiring in 2016. He was a founding Director of The Foundation for the Prevention of Violence Against Women and Their Children (now 'Our Watch'), a founding member of the CEOs For Gender Equity and was also previously Chairman of the West Coast Eagles Football Club. He is currently Chairman of the Wirrpanda Foundation and is a Trustee of the SAS Resources Fund.

Mr Cransberg has an Honours Degree in Civil Engineering from the University of Western Australia.

Mr Chaney said he was pleased to welcome Mr Cransberg to the Board.

"Alan will bring immensely valuable experience and insights to our Board, including from decades at one of the world's largest mining and minerals processing companies and with extensive experience in, and passion for, projects to improve gender equity."

Mr Cransberg will stand for election at that Wesfarmers Annual General Meeting to be held on 21 October 2021.
