Xiamen ITG Capital Group Co., Ltd. entered into an agreement to acquire 51% stake in ITG Futures Co., Ltd from Xiamen ITG Group Corp.,Ltd (SHSE:600755) on December 29, 2022. In a related transaction, Xiamen ITG Capital Group Co., Ltd. agreed to acquire 25% stake in ITG Qirun Capital Management Co., Ltd from Xiamen ITG Group Corp.,Ltd (SHSE:600755). As of December 2021, ITG Futures reported total assets of CNY 8091.37 million, EBIT of CNY 3943.6305 million, net income of CNY 181.4136 million and total common equity of CNY 1315.4989 million. This transaction still needs to be approved by the China Securities Regulatory Commission for the change of shareholders of ITG Futures Co., Ltd. and Xiamen ITG Group Corp.,Ltd (SHSE:600755) directors. The company held the 19th meeting of the tenth board of directors in 2022 on December 29, 2022, and reviewed and approved the "Proposal on the Sale of Assets and Related Transactions". The China Securities Regulatory Commission approves the equity change of ITG Futures Co., Ltd.
