RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR, CHAIRMAN OF THE NOMINATION COMMITTEE AND MEMBER OF THE AUDIT COMMITTEE AND CHANGE IN CHAIRMAN OF THE NOMINATION COMMITTEE
The board of directors (the "Board") of Xingye Copper International Group Limited (the "Company") announces that Mr. Xie Shuisheng ("Mr. Xie") has resigned as an independent non- executive director, the chairman of the nomination committee and a member of the audit committee of the Company with effect from 24 April 2014 as he requires more time to pursue his other business engagements.
Mr. Xie has confirmed that he has no disagreement with the Board and there are no matters in relation to his resignation that need to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited.
The Board would like to take this opportunity to express its gratitude and appreciation to Mr. Xie for his valuable contributions to the Company during his tenure of office.
Following the resignation of Mr. Xie, Mr. Chai Chaoming, an independent non-executive director of the Company, was appointed as the chairman of the Nomination Committee with effect from 24
April 2014.
