Xponential Fitness, Inc. (NYSE:XPOF) entered into an agreement to acquire Lindora Franchise, LLC from Lindora, LLC for $9.5 million on December 1, 2023. The transaction also includes up to $1,000,000 of contingent consideration which is subject to the achievement of certain milestones. The acquisition is anticipated to be immediately accretive on both an Average Unit Volume and an Adjusted EBITDA basis. The transaction is expected to close in early 2024.
