The grant of an option over 834,498 shares with a nil exercise price, exercisable between 17 April 2013 and 17 April
2022, and the grant of an option over 834,498 shares with a nil exercise price, exercisable between 17 April 2014 and 17
April 2022, awarded under the Added Value Incentive Plan (2009 - 2012 cycle). Rewards under the Added Value Plan are based upon the outperformance of Xstrata's total shareholder return over a three year performance period relative to an index of global mining companies. In the relevant period, Xstrata's TSR was 141.12%, delivering an outperformance of 45% against the index TSR of 95.82%. On completion of the proposed merger with Glencore International plc, all deferred awards will vest and convert into new nil-cost options over shares in Glencore Xstrata International plc on terms
that are equivalent to the existing award.
