Zhejiang Jinke Culture Industry Co., Ltd. (SZSE:300459) agreed to acquire additional 30% stake in Huzhou Jichang Chemical Co., Ltd. from Huzhou Linghu Jichang Chemical Co., Ltd for approximately CNY 110 million on May 26, 2017. After the completion of the acquisition, Zhejiang Jinke Culture Industry Co., Ltd will hold 90% stake in Huzhou Jichang Chemical Co., Ltd. Zhejiang Jinke Culture Industry Co., Ltd plans to use its internal funds to fund the acquisition. Huzhou Jichang Chemical Co., Ltd. had total assets of CNY 87.29 million, net assets of CNY 77.71 million, revenue of CNY 107.1 million and net profit of CNY 38.89 million as on December 31, 2016. The transaction has been approved by the Board of Directors of Zhejiang Jinke Entertainment Culture Co., Ltd. during the 34th session of the 2nd directorate.

Zhejiang Jinke Tom Culture Industry Co Ltd is a China-based company engaged in Intellectual Property (IP) ecological operation with Talking Tom Cat family IP as the core. The Company's online business mainly includes mobile Internet application distribution business and animation film and television business, which are based on the IP image and content of Talking Tom Cat family to create leisure mobile applications, animation, series of short films, mini-series and other animation and television works. The Company is also engaged in the advertising business through built-in advertising and in-app purchases of mobile application products.
