Independent Assessors Report (as defined by the Companies Act 2006)

Civica Election Services Limited (CES) was appointed by easyJet PLC on 27 April 2020 to write an independent report on polls taken at their General Meeting on 22 May 2020. To fulfil this role, CES was appointed as an independent assessor, as defined in the Companies Act 2006.

The Report

CES can confirm that:

  • - The procedures adopted in connection with the polls at the General Meeting were adequate.

  • - The votes cast (including proxy votes) were fairly and accurately reported.

  • - The validity of members' appointments of proxies were fairly assessed.

  • - The notice of meeting complied with Section 325 (of the Companies Act 2006) and that the notice of meeting contained a statement of rights to appoint a proxy.

  • - Section 326 (company-sponsored invitations to appoint proxies) was complied with in relation to the meeting.

Background Analysis

The following steps helped CES in forming the opinions stated in the Independent Assessors' report:

  • - Receipt of copies of correspondence (electronic and paper based) sent out to Shareholders at the start of the voting period.

  • - On-going liaison with Equiniti (the Registrars), receiving regular vote updates and confirmed lists of voters, as well as conducting an independent audit of votes received and lodged.

  • - Remote attendance at the GM to observe the announcement of poll procedures

Reviewing the Notice of Meeting

The notice of meeting complied with both sections 325 and 326 of the Companies Act 2006.

Liaison with Equiniti (for vote audit purposes)

CES requested and was sent the following information on an on-going basis as well as the day before the General Meeting.

  • - Aggregated voting figures

  • - Full list of voters and processed voting instructions

CES undertook vote sampling that included the following:

  • - The top 30 (in terms of issued share capital) Voters

  • - A random selection of 10 other large (nominee) Voters

  • - A random selection of 7 other comparatively small Voters

CES also carried out its own calculation in terms of aggregating all votes received and compared these statistics with the final pre-meeting figures generated by Equiniti. For all checks CES undertook, CES found no discrepancies with the figures produced by Equiniti and can confirm that votes cast by proxy were fairly and accurately recorded and counted.

Observation of the GM - 22 May 2020

CES representatives Richard Hall and Elliot Roberts observed the meeting remotely on behalf of CES via the telephone dial in/online video stream facilities provided. Attendance at the meeting in person was not possible due to covid-19 restrictions.

In place of physical poll cards an online application was provided to enable voting during the meeting. CES received written notification of the time voting was opened/closed in the application and can confirm this corresponded with the timing of the formal announcement from the chair during meeting broadcast.

The number of voting shares at the meeting was non-influential, and although final results were not published during the meeting, the Chairman did announce at the close that based on the pre-meeting voting figures, their expectation was for all resolutions to be defeated.

CES representatives had sight of a transcript of votes cast during the meeting, in addition to the final pre-meeting proxy figures and can confirm that these correspond with the results posted on the easyJet PLC website later in the day.
