VOLUNTARY ANNOUNCEMENT

This is a voluntary announcement made by Huali University Group Limited (the "Company") in relation to its corporate governance.

The board of directors of the Company would like to inform the shareholders of the Company that

1. the Company has been in compliance with the Corporate Governance Code (the "CG Code") set out in Appendix 14 to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited since 14 November 2019, being the date of the prospectus issued by the Company in connection with the global offering of its shares; and (ii) the Company intends to continue to comply with the CG Code.
