Zalaris : Share buy-back by Zalaris ASA

 

On June 13 2019, Zalaris ASA (the 'Company')  purchased 5.000 own shares on the
Oslo Stock Exchange at an average price of NOK 24,3846. Following the purchase,
Zalaris ASA holds 303.135 own shares, representing ~1,51% of the total
outstanding shares. 
 
Pursuant to the continued authorization to acquire treasury shares granted to
the board of directors of the Company (the 'Board') by the annual general
meeting of the Company on 21 May 2019, the Board has resolved to proceed with
the share buy-back program announced on 12 March 2019, i.e. to repurchase up to
500,000 shares in the Company at a price per share not to exceed NOK 160 and
otherwise on the same terms and for the same purpose as the buy-back program
announced on 12 March 2019. The continued authorization granted by the general
meeting is valid until the earlier of the date of the Company's annual general
meeting in 2020 and 30 June 2020. For further information on the resolution

Please note that the Company's stock exchange announcements regarding buy-backs
after 21 May 2019, have, by an inadvertence, incorrectly referred to 12 March
2019 as the date the buy-back program was approved by the Board pursuant to the
continued authorization. 
 
Nordea Markets remains mandated for the execution of the share buy-back program
and will continue to make its trading decisions in relation to the Company's
shares independently of, and without influence by, the Company with regard to
the timing of the purchases. The share buy-back program will be conducted in
accordance with the applicable rules and regulations, including the rules of the
Oslo Stock Exchange and the Norwegian Securities Trading Act.
