ANNOUNCEMENT REGARDING THE APPOINTMENT OF

MS. HAN HUIHUA AS AN EXECUTIVE VICE PRESIDENT AND

FINANCE PRINCIPAL OF THE COMPANY

This annoucement is made in pursuant of Part XIVA in Securities and Futures Ordinance (Chapter 571 of the laws of Hong Kong) ("Securities and Futures Ordinance") and Rule 13.10B in the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limtied (the "Listing Rules").

The board of directors (the "Board") of China Vanke Co., Ltd.* (the "Company", together with its subsidiaries, the "Group") hereby announces that the twenty-seventh meeting of the eighteenth session of the Board has reviewed and approved the appointment of Ms. HAN Huihua ("Ms. HAN") as an executive vice president and finance principal of the Company.

Due to the job engagement needs, Mr. WANG Wenjin, an executive director of the Company, will cease to hold his concurrent positions as an executive vice president and finance principal of the Company. Mr. ZHANG Xu, also an executive director of the Company, will cease to hold his concurrent positions as an executive vice president and chief operating officer of the Company.

Details of Ms. HAN's biography are as follows:

Ms. HAN Huihua, born in 1982, currently is an executive vice president and finance principal of the Company. Ms. HAN joined the Group in 2008, and successively held positions of business manager, assistant general manager and vice general manager of finance and internal control department, and central partner of financial management function in management center of the Company. Before joining the Group, Ms. Han used to work in local tax bureau of Xiushui County in Jiujiang City, Jiangxi Province. Ms. HAN graduated from University of Science and Technology with a bachelor degree in administration in 2003, and Jiangxi University of Finance and Economics in accountancy major with a master degree in administration in 2008. Ms. HAN is a non-practising member of the Chinese Institute of Certified Public Accountants.

As of the date of this announcement, Ms. HAN does not hold any interest, as defined in Part XV of Securities and Futures Ordinance, in the Company.

Saved as disclosed above, as at the date of this announcement, Ms. HAN (i) does not have relationship with any directors, supervisors, senior management of the Company and substantial shareholders of the Company; (ii) hold position as director or supervisor of certain subsidiaries of the Group; (iii) has not held any directorship in any other listed companies in the past three years; and (iv) does not have any interests or short positions in any shares, underlying shares or debentures of the Company or any of its associated corporations within the meaning of Part XV of the Securities and Futures Ordinance.

Saved as disclosed above, there is no information relating to Ms. HAN that is required to be disclosed pursuant to Rule 13.51(2)(h) to 13.51(2)(v) of the Listing Rules, nor is there any other matter concerning Ms. HAN that needs to be brought to the attention of the shareholders of the Company.
