Budapest, Kórház u. 6-12; company registration number: Cg.01-10-045985; hereinafter referred to as "ALTEO" or "Company") hereby complies with the statutory obligation to provide extraordinary information as required by Section 55 of Act CXX of 2001 on the Capital Market, and Section 1.24 of Annex 4 of Decree No. 24/2008. (VIII. 15.) of the Minister of Finance.

As already notified to the Company's Investors through its communication dated July 27, 2022, ALTEO as buyer, has concluded a stock purchase agreement for the acquisition of the registered capital representing the entirety of the business interest in EDELYN SOLAR Korlátolt Felelősségű Társaság (Principal office: 2183 Galgamácsa, Kiskút utca 11.; Incorporation No.: Cg. 13-09-218939; hereinafter referred to as "Target Company") amounting to three million forints (HUF 3,000,000) from individuals, as sellers.

The closing conditions specified in detail in the stock purchase agreement have been fulfilled. Accordingly, 75.1% ownership of the Target Company's quota has been transferred to ALTEO as of today.

The 24.9% of shareholder is the Kék Bolygó Klímavédelmi Kockázati Tőkealap ("Blue Planet Foundation").

The Target Company, beyond the recycling of paper, metal and electronic waste, operates complex waste management services, its turnover in 2021 was more than HUF 3 billion. The Target Company has been active in waste processing since 1994, hence it has all-round experience in industrial, municipal and household submarkets.

The acquisition is closely aligned to ALTEO's strategy published in 2022 January in which the purpose is to increase its role in the circular and sustainable economy.
