Notice to shareholders

Atlantic Grupa d.d., Zagreb, Miramarska 23, OIB: 71149912416 (hereinafter referred to as the Acquiring Company or Atlantic Grupa d.d.) and Atlantic Eurocenter d.o.o., Zagreb, Miramarska cesta 23, OIB: 79245231921 (hereinafter referred to as the Acquired Company or Atlantic Eurocenter d.o.o.), on 10 May 2024, concluded the Agreement on the Acquisition of the Company Atlantic Eurocenter d.o.o. by the Company Atlantic Grupa d.d. (hereinafter referred to as the Acquisition Agreement).The subject Acquisition Agreement was filed with the Court Register of the Commercial Court in Zagreb, under the number R3-4566/24, on 13 May 2024.

Given the fact that the Acquiring Company holds 100% of the share capital of the Acquired Company, in accordance with Articles 549 and 531 of the Companies Act (hereinafter referred to as the Act), an approval of the General Assembly of the Acquiring Company for the subject matter acquisition is not required, unless the shareholders of the Acquiring Company whose shares amount to minimum one twentieth of the share capital require to convoke the General Assembly to decide on granting the approval for the acquisition, therefore the shareholders are hereby informed of said right.

Further, the shareholders are informed that on 17 June 2024 the General Assembly of the Acquired Company will take place in order to bring a decision on the approval of the Acquisition Agreement. In accordance with the provision of Article 517 Paragraph 1 of the Act, the shareholders are informed that at least one month before the General Assembly of the Acquired Company takes place, i.e. from 17 May 2024, the documents required under Article 517 Paragraph 2 of the Act will be available for review on the premises of the companies participating in the acquisition.

The acquisition will not result in any increase in the share capital of the Acquiring Company.
