Atos SE (ENXTPA:ATO) announced to spin-off 70% stake of Evidian S.A. on June 14, 2022. Evidian will be listed on the Euronext Paris stock exchange. Evidian will bring together Atos' Digital and Big Data and Security (BDS) business lines. Atos' shareholders would retain their current shares of Atos and would receive Evidian shares as in-kind distributions. After completion, it is currently contemplated that Atos shareholders would hold 100% of TFCo (Altos) and 70% of Evidian. The remaining 30% stake in Evidian would be held by TFCo (Altos) and monetized over time to refinance TFCo's (Altos) turnaround costs. Evidian will be led by a seasoned management team with a successful track record, under the leadership of Philippe Oliva (and appointed deputy Group Chief Executive Officer in charge of the Digital/BDS perimeter) and Anil Agrawal as Chief Financial Officer. While Evidian and TFCo (Altos) management teams will be fully dedicated to their day-to-day operations and the execution of their respective transformation plans, the potential separation process will be managed by a dedicated team led by Rodolphe Belmer, Atos Chief Executive Officer, alongside Diane Galbe, Atos Chief Strategy Officer. Atos' Board of Directors has approved the launch of the in-depth study of the contemplated transaction. As of September 30, 2022, Atos has named Nourdine Bihmane as CEO with immediate effect, replacing Rodolphe Belmer. Stephane Lhopiteau, who took over from Uwe Stelter as chief financial officer (CFO) on May 1, 2022, will leave Atos during the second half of the year. He will be replaced by Nathalie Senechault, currently deputy CFO. Coinciding with the announcement, CEO Rodolphe Belmer said that he would leave Atos on 30 September. The decision on this reorganization and separate listing and its terms and conditions will be made after the ongoing in-depth analysis has been completed; it remains conditional on general market conditions and would be subject to customary processes, including governance bodies and shareholders' approval as well as consultation with the relevant employee representative bodies. If it is decided to move forward, the objective would be to complete the separation during the second half of 2023, and to complete the listing and distribution of Evidian shares by the end of 2023. In 2021, Evidian generated €4.9 billion revenue.
