APPOINTMENT OF EXECUTIVE DIRECTOR

The board (the "Board") of directors (the "Directors") of Bauhaus International (Holdings) Limited (the "Company", together with its subsidiaries, the "Group") is pleased to announce that Madam Tong She Man, Winnie ("Madam Tong") has been appointed as an executive Director and the vice chairlady of the Board with effect from 12 September 2019. The biographical details of Madam Tong are set out below.

Madam Tong She Man, Winnie (唐書文), aged 60, is the co-founder of the Group. She was a former executive Director of the Company from October 2004 to March 2009. Madam Tong has extensive experience in the fashion industry. She conceived the concept and brand name "SALAD", the second in-house brand of the Group. Madam Tong was awarded the diploma by Hong Kong Shue Yan College (Department of Journalism) in 1983. Madam Tong is the mother of Ms. Wong Hei Ting and Ms. Wong Hei Man, Frances, both of whom are the senior management of the Group.

Madam Tong will enter into a service agreement with the Company for an initial term of three years commencing from 12 September 2019, which may be terminated by either party thereto by giving to the other six months' prior notice in writing and is subject to retirement by rotation in accordance with the articles of association of the Company. Pursuant to the articles of association of the Company, Madam Tong shall hold office only until the next following general meeting of the Company and shall then be eligible for re-election. Madam Tong will be entitled to a remuneration of HK$650,000 per year, which is determined with reference to her duties and responsibility with the Company, and subject to adjustment as appropriate in the future as determined by the Company.

As at the date of this announcement, Madam Tong is interested in 214,068,000 shares of the Company (the "Shares"), representing approximately 58.3% of the Company's issued share capital, within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong), which comprise (i) 34,068,000 Shares held by Great Elite Corporation, the entire issued capital of which is owned by Madam Tong; and (ii) 180,000,000 Shares held by New Huge Treasure Investments Limited, which in turn is held by Yate Enterprises Limited as to 100%. Yate Enterprises Limited is in turn held by East Asia International Trustees Limited as to 100% as the trustee of The Tong & Wong Family Trust, a discretionary trust established by Mr. Wong Yui Lam, an executive director of the Company and Madam Tong. Madam Tong is also one of the beneficiaries of The Tong & Wong Family Trust.

As at the date of this announcement, save as disclosed above, Madam Tong does not have any relationship with any director, senior management, substantial shareholder or controlling shareholder of the Company, does not hold any other positions in the Company or any of its subsidiaries, and did not hold other directorship in any other listed companies in Hong Kong or overseas in the last three years.

Save as disclosed above, the Board is not aware of any other matters relating to the aforesaid appointment that need to be brought to the attention of the shareholders of the Company. There is no information relating to the aforesaid appointment that needs to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
