Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 6, 2021, Beyond Meat, Inc. (the "Company") entered into a consulting agreement (the "Agreement") with Charles Muth, the Company's former Chief Growth Officer, effective as of June 5, 2021. As previously disclosed, Mr. Muth retired as an employee and officer of the Company effective June 4, 2021 and began providing transition services to the Company on June 5, 2021. Under the Agreement, Mr. Muth will provide transition services to the Company, and Mr. Muth's outstanding equity awards will continue to vest through and until October 5, 2021 or, if earlier, the termination of the Agreement and Mr. Muth's services to the Company under the Agreement. A copy of the Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
