&DC3 Co., Ltd. announced that it will issue 3,310 shares at an issue price of ¥290,000 per share for total gross proceeds of ¥959,900,000 in a round of funding on May 11, 2023. The transaction will include participation from returning investor AXELL Corporation, and new investor CELSYS, Inc. The transaction has been approved by the board of directors and at general meeting of shareholders. The transaction is expected to close on May 26, 2023.
After completion of transaction, AXELL Corporation will acquire 14.73% stake; and CELSYS, Inc. will acquire 85.27% stake in the company.
CELSYS Inc, formerly ArtSpark Holdings Inc, is a Japan-based company mainly engaged in the business management of subsidiaries that plans, develops, sells, licenses, and maintains and manages computer software and peripherals, as well as related businesses. The Company operates through two segments. The Creator Support segment promotes the research and development and practical application of graphic technology, and expands the product lineup that supports new content production techniques and new devices. The User Interface (UI)/User Experience (UX) segment develops products centered on the in-vehicle software development platform CGI Studio and the UI authoring software group UIConductor, with a focus on the automotive (four-wheel and two-wheel) sector.
