On February 18, 2015, Raymond Mattie, a director of Citizens & Northern Corporation and its subsidiary, Citizens & Northern Bank (the 'Bank'), to the Board of Directors of the Company his intent to resign as a director of the Company and the Bank effective February 18, 2015.
