CodeLab Capital AS - Key employees acquire shares from main shareholder

Oslo, 11 March 2024

Certain key employees and board members (together, the "Buyers") have agreed to
acquire shares in CodeLab Capital AS (the "Company") from the main shareholder,
Codee Holding AS, 100% owned by Jesper Melin. The agreed price per share is NOK
0.90 and is based on the closing price last trading day before the agreements
were entered into on 11 March 2024.
 
The Buyers are:

Vig10 Holding ApS, 100% owned by Head of Sales Uniscale Henning Emil Olesen,
acquires 3,000,000 shares
La Padre Invest AS, 100% owned by CFO CodeLab Capital Christoffer Mathiesen,
acquires 2,000,000 shares
KI Holding 2020 ApS, 100% Owned by CEO CodeLab Capital Kristian Ikast, acquires
1,000,000 shares
Nha Invest Holding, 100% Owned by Board Member in CodeLab Capital, Nikolaj
Helsinghoff Andersen, acquires 500,000 shares

The actual transfer of the shares will happen within the next few weeks. The
agreements contain lock-ups for the Buyers, ensuring a common focus on the long
term profitability of the Company.

The seller and certain of the Buyers are close associates to primary insiders.
