Item 1.01 Entry into a Material Definitive Agreement.

The information set forth below under Item 2.03 is hereby incorporated by reference into this Item 1.01.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On October 6, 2021, we entered into the Eighth Amendment to the Sixth Amended and Restated Credit Agreement (the "Eighth Amendment"), dated as of October 6, 2021, among the Company, Comerica Bank and the other banks signatory thereto (collectively, the "Banks") and Comerica Bank as administrative agent for the Banks. The Eighth Amendment increased the amount of our revolving secured line of credit facility from $340.0 million to $385.0 million and extended the maturity of the facility from June 22, 2023 to June 22, 2024. The amount of the facility will decrease from $385.0 million to $350.0 million on June 22, 2022, and will further decrease from $350.0 million to $325.0 million on June 22, 2023. There were no other material changes to the terms of the facility.

As of October 6, 2021, we had $189.7 million outstanding under the line of credit facility.
