Drillisch Aktiengesellschaft (DB:DRI) entered into an agreement to acquire The Phone House Deutschland GmbH from Dixons Carphone plc (LSE:DC.) in cash and stock on April 15, 2015. Under the terms of the agreement, Dixons Carphone will receive circa 3% in shares of Drillisch, with potential further deferred payments from future excess cash flows as consideration. The consideration for the first purchase price component shall be realized by utilization of the authorized capital of Drillisch with exclusion of the subscription rights of the shareholders. The new shares will be subject to a standard lock-up period. The Phone House has annual sales of about €350 million. The deal is expected to be completed by the end of May 2015.
