Item 8.01. Other Events.
Duke Energy Corporation (the "Corporation") entered into a $1,400,000,000
364-Day Term Loan Credit Agreement, dated as of March 9, 2022 (the "Credit
Agreement"), among the Corporation, as Borrower, certain Lenders from time to
time parties thereto, and The Bank of Nova Scotia as Administrative Agent and
Coordinating Lead Arranger. The maturity date of the Credit Agreement may be
extended for up to two years by request of the Corporation, upon satisfaction of
certain conditions contained in the Credit Agreement. On March 9, 2020, the
Corporation borrowed the full amount under the Credit Agreement to repay amounts
drawn under the Corporation's term loan dated as of May 15, 2019, as amended and
for general corporate purposes, including repayment of a portion of the
Corporation's outstanding commercial paper.
The disclosure in this Item 8.01 is qualified in its entirety by the provisions
of the Credit Agreement, which is attached hereto as Exhibit 10.1 and is
incorporated herein by reference.
