ETS Holdings Co.,Ltd. (JASDAQ:1789) agreed to acquire Yu-ki-industry Co., Ltd. from Kinooka family on November 12, 2021. Nobuyuki Kinooka, Yuko Kinooka, Tamami Kinooka, Anna Kinooka and Mina Kinooka own 16,656 shares, 2,621 shares, 241 shares, 241 shares and 241 shares respectively in Yu-ki-industry Co. Post completion, ETS Holdings Co. will own 20,000 shares of Yu-ki-industry Co. making it a wholly owned subsidiary. The Yu-ki-industry Co. had net assets of ?516 million, total assets of ?603 million, sales of ?508 million, operating profit of ?13 million, net income of ?9 million for the fiscal year ending August 2020. The transaction is expected to close on December 1, 2021 (the 3rd year of Reiwa).
ETS Holdings Co., Ltd. engages in electrician business for transmission line construction, electrical facilities construction and information and communication construction, and the building management and cleaning business, condominium management, building facility maintenance and others. The electric work business involves in the power transmission works, including the measurement and design of aerial power line works, underground power line works, transformer station works and others, offers tools and equipment for power line construction works, engages in the extension line works, including the design and construction of electric, instrumentation, information and communications, and disasters and crime prevention facilities, as well as the mobile works such as the construction of information and communications facilities, among others. The Building Management and Cleaning segment provides building cleaning, manned and automatic security services, interior finish works design.
