MyHeritage Ltd. completed the acquisition of 47.8% stake in Filae S.A. from founders and historical shareholders of Filae including Toussaint Roze.

MyHeritage Ltd. signed an agreement to acquire 47.8% stake in Filae S.A. (ENXTPA:ALFIL) from founders and historical shareholders of Filae including Toussaint Roze for €15.8 million on August 2, 2021. Under the terms of transaction, MyHeritage will purchase 0.789161 million shares at a purchase price of €20 per share. In a separate transaction, MyHeritage Ltd. signed an agreement to acquire 43.1% stake in Filae S.A. from Geneanet SA and Trudaine Participations for €14.8 million and MyHeritage will file a simplified mandatory takeover bid followed by a squeeze-out at the price of €20.75 per Filae share.

Filae will remain a French company based in Paris and will continue to operate autonomously. Filae's founder, Toussaint Roze, will continue to manage the company and its operations will continue uninterrupted.
