Time and location

When and where will the 2024 Annual General Meeting take place?

The 2024 Annual General Meeting (AGM) will be held on May 28, 2024, at the Congress Center of the Sheraton Frankfurt Airport Hotel & Conference Center, Hugo-Eckener-Ring 15, 60549 Frankfurt am Main, Germany. Shareholders will be granted entry from 8:00 a.m.; the meeting will start at 10:00 a.m.

How long will the Annual General Meeting take?

The Chair will open the meeting at 10:00 a.m. The duration of the Annual General Meeting will largely depend on how many shareholders request to speak in order to exercise their right to speak and ask questions, and how long the Executive Board and Supervisory Board need to answer the questions they are asked.

Participation and registration

What is required for participation in the Annual General Meeting? Shareholders who register with the Company in text form (Section 126b of the BGB German Civil Code) at the address specified in the invitation and submit specific evidence of their share ownership issued by their custodian bank (final intermediary) in text form to the Company at this address are entitled to attend the Annual General Meeting. Evidence of share ownership in accordance with Section 67c (3) of the German Stock Corporation Act (AktG) is sufficient for this in each case.

The evidence of share ownership must relate to the close of business on May 6, 2024 (24:00 CEST - known as the "record date").

The registration and evidence must be received by the Company by no later than the end of May 21, 2024 (24:00 CEST).

Shareholders who register via their custodian bank (see next question) do not need to do anything else. The custodian banks will forward the evidence to the Company automatically.

How can I register for the Annual General Meeting as a shareholder? Invitations will be sent to shareholders via their custodian banks before the Annual General Meeting, by mid-Mayat the latest. No printed invitations will be sent. Therefore, your custodian bank will send you the invitation electronically or

refer you to the Fraport website, where you can find the full invitation. Please contact your custodian bank in case of questions.

The invitation sent by custodian banks is generally accompanied by an order form that can be used to order an admission card for the 2024 Annual General Meeting from the custodian bank (this process may be managed differently from bank to bank). The custodian bank will then register the shareholder's participation in the Annual General Meeting with the Company and provide evidence of their eligibility for entry to the Company.

I haven't received an invitation to the Annual General Meeting. What should I do?

We ask any shareholders who have not received an invitation from their custodian bank as a matter of course to contact their custodian bank directly for clarification.

Internet and recordings

Will the event be broadcast online?

Fraport AG will broadcast the opening of the Annual General Meeting by the Chair of the meeting and the speech by the Chair of the Executive Board online (www.hauptversammlung.fraport.de) for interested members of the public.

As of May 7, 2024, the Company will maintain a password-protected online portal (AGM portal) on the website www.fraport.com/annualgeneralmeeting. Via this portal, properly registered shareholders (and their proxies, if applicable) can follow the entire AGM via video and audio transmission and exercise their voting rights by electronic absentee ballot, issue powers of attorney and instructions to the Company's proxies and authorize third parties.

It is not possible to submit questions or comments via the website or the password-protected online AGM portal; these must instead be asked or made respectively verbally at the Annual General Meeting held in person in the course of a discussion.

Will there be a verbatim report or a video or audio recording of the general debate at the Annual General Meeting?

No, the general debate at the Annual General Meeting will not be recorded or reported verbatim.

Are photographs or video and audio recordings permitted at the Annual General Meeting?

No. Only radio, TV and print reporters will be granted authorization. Therefore, use of the photo or video function on cell phones is also not permitted.

List of participants

Can shareholders view the list of participants?

The list of participants is available for shareholders to view electronically at the registration table. The Chair of the meeting will announce the time when it will be possible to view the list for the first time. The list of participants will be updated electronically on an ongoing basis.

Press area

Will there be a separate meeting area for media representatives at the AGM?

Yes, there will be a separate meeting area equipped with tables and individual workstations for a limited number of media representatives.

Requests to speak

How can I make a request to speak as a shareholder?

Requests to speak can be made at a registration table on the left-hand side of the hall near to the stage. Here, shareholders can obtain forms on which they must register their comments.

The Chair of the meeting will call the registered speakers at the appropriate time. Comments can only be made from the lectern situated on the right-hand side next to the stage.

Information material

Where can I find information on Fraport AG at the Annual General Meeting?

There will be a special counter displaying documents for inspection, including the following:

• Invitation to the 2024 Annual General Meeting
• Publication of the invitation in the Federal Gazette
• The adopted annual financial statements, the approved consolidated financial statements, the combined management report of the Company and the Group for the 2023 financial year, the report of the Supervisory Board and the explanatory report of the Executive Board on the information stipulated in Section 289a and Section 315a of the German Commercial Code (HGB)
• The 2023 annual report
• The (only in German-language) speech held by the Chair of the Executive Board
• The (only in German-language) presentation held by the Chair of the Executive Board
• Any countermotions submitted, together with comments by management

Travel expenses and parking

Will travel expenses be reimbursed?

With their personal admission card, all shareholders will receive a combined ticket entitling them to free travel in second class to and from the Congress Center of the Sheraton Frankfurt Airport Hotel & Conference Center on all Rhein-Main-Verkehrs-Verbund (RMV) lines in the RMV area on May 28, 2024. You will find the ticket on your admission card. Please use this means of travel.

Are free parking spaces available?

No, no free parking spaces are available.

You may use the parking facilities at Terminal 1. Please note, however, that the Company will not cover the parking charges. The parking charges (terminal parking entrances P2 and P3 - €6.00 per hour/€39.00 daily rate - and business parking entrances P1 and P4 - €7.00 per hour/€42.00 daily rate) can be paid at the payment machines on-site.

We recommend arriving via public transport.
