Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 10, 2020, the Board of Directors of Guidewire Software, Inc. (the "Company") approved an amendment and restatement of the Company's amended and restated bylaws to designate the United States District Court for the Northern District of California as the exclusive forum for any action asserting a claim arising under the Securities Act of 1933, as amended, unless the Company consents in writing to the selection of an alternative forum, as the Company's headquarters are located in San Mateo, California.

The foregoing description of the Company's amended and restated bylaws is qualified in its entirety by reference to the amended and restated bylaws of the Company, which are attached hereto as Exhibit 3.1 and incorporated herein by reference.
