Explanation on Agenda Item 1 without a resolution

The Supervisory Board has adopted the annual financial statements and consolidated financial statements of HelloFresh SE prepared by the Management Board; the annual financial statements of HelloFresh SE are thus approved. It is therefore not planned, nor is it necessary, for the Annual General Meeting to pass a resolution on Agenda Item 1. Instead, these documents and any related documents shall merely be made accessible to the Annual General Meeting and shall be explained by the Management Board or, in the case of the Supervisory Board Report, by the Chairman of the Supervisory Board.
