Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 20, 2020, the Board of Directors (the "Board") of Insulet Corporation
(the "Company") increased the authorized number of directors of the Company from
nine to ten and appointed Wayne A. I. Frederick, M.D. as a Class II director to
fill the newly created vacancy. Dr. Frederick is President of Howard University,
having served in that role since July 2014. Dr. Frederick, who will stand for
election by stockholders at the Company's 2021 Annual Meeting of Stockholders,
was also appointed to serve on the Audit Committee of the Board.
There are no arrangements or understandings between Dr. Frederick and any other
persons pursuant to which Dr. Frederick was selected as a director, and there
are no transactions involving Dr. Frederick required to be disclosed under Item
404(a) of Regulation S-K. As a non-employee director of the Company, Dr.
Frederick will receive cash and equity compensation pursuant to the Company's
non-employee director compensation program, as described in the Company's proxy
statement filed with the Securities and Exchange Commission on April 13, 2020.

On October 20, 2020, the Company issued a press release announcing Dr.
Frederick's appointment to the Board. A copy of that press release is furnished
herewith as Exhibit 99.1.
