Yumeshin Holdings Co., Ltd. (JASDAQ:2362) announced that it will make a public tender offer to acquire a 90.92% stake in Japan Third Party Co., Ltd. (JASDAQ:2488) for ¥2.8 billion on September 27, 2016. Yumeshin Holdings Co. will acquire 4,623,947 shares in the offer at a price of ¥610 per share. The tender offer will commence from September 29, 2016 and complete on November 11, 2016. The minimum number of shares to be transferred is 1,695,200 shares. The settlement date for tender offer is November 18, 2016. Japan Third Party and Yumeshin Holdings Co. approved the transaction. The transaction is expected to close on November 11, 2016.
Phillip Securities Japan Ltd. acted as tender offer agent. Astar Consulting was appointed by Yumeshin Holdings Co. as third party appraiser to provide opinion on tender offer price and deal value. Wadakura Gate Law Office acted as legal advisor for Japan Third Party Co. TFA served as the independent third party appraiser to Japan Third Party Co.
