Takeaway.com publishes prospectus in connection with

the recommended all-share combination of Takeaway.com and Just Eat

Takeaway.com N.V. (AMS: TKWY), hereinafter the "company", or together with its group companies "Takeaway.com", the leading online food delivery marketplace in Continental Europe, today published a prospectus in connection with the recommended all-share combination of Takeaway.com and Just Eat.

On 5 August 2019, Takeaway.com and Just Eat announced a recommended all-share combination (the "Combination"), which would create one of the largest food delivery companies in the world, with scale, strategic vision, industry-leading capabilities, leading positions in attractive markets and a diversified geographic presence.

The prospectus, dated 22 October 2019, has been published in connection with (i) the admission to the premium listing segment of the UK Official List and to trading on the London Stock Exchange's main market for listed securities of all of the company's issued and to be issued shares as well as

  1. the listing of the new shares to be issued in connection with the Combination on Euronext Amsterdam. The prospectus has been approved by the Netherlands Authority for the Financial Markets (the "AFM") and has been passported into the UK following notification by the AFM to the FCA of its approval. The company's shareholder circular has been published at the same time as the prospectus. The company's extraordinary general meeting of shareholders regarding the Combination ("EGM") will be held on 4 December 2019. Subject to satisfaction of conditions, including shareholder approvals, completion of the Combination is expected to take place on 1 January 2020.
