Kanda Tsushinki Co., Ltd. (JASDAQ:1992) agreed to acquire Nihon Denwa Kogyo Co., Ltd. from Hiroshi Yoshida for ¥1 million on October 11, 2016. The transaction was resolved by the board of directors of Nihon Denwa Kogyo Co., Ltd. Under the terms of the transaction, Kanda Tsushinki will acquire 0.02 million shares. The contract is expected to be signed by October 13, 2016. The transaction is expected to be closed by October 21, 2016. As a part of the transaction, Kanda Tsushinki will pay ¥5 million as advisory cost. Nihon Denwa Kogyo reported net assets of approximately ¥8 million, total assets of ¥61 million, sales of ¥33 million, operating profit of ¥0, current profit of ¥0, and net profit of ¥0 for the year ending March 2016.
KANDA TSUSHINKI CO., LTD. is a Japan-based company mainly engaged in the information communication business. The Company has three business segments. The Information and Communications segment is engaged in the sale of telephone switching equipment, various network systems, information equipment and software, the planning, construction and support of information systems, as well as the sale, design, construction and maintenance of wireless-related equipment, closed-circuit television (CCTV), broadcasting and other electronic equipment, and the design and maintenance of telecommunications equipment.
