Xerion Retail Private Limited entered into a definitive agreement to acquire Lamoda from Tengelmann Ventures GmbH, Holtzbrinck Digital GmbH, Bigfoot Gmbh, Access Industries, Inc., Ontario Teachers' Pension Plan, International Finance Corporation, J.P. Morgan Asset Management, Inc. and others on September 4, 2014. After the deal, the sellers will hold stakes in the combined company. Kinnevik will hold 25.1% which hold shares in Lamoda through Bigfoot Gmbh, Rocket Internet will hold 23.5% stake which hold shares in Lamoda through Bigfoot Gmbh and Access Industries will hold 7.4% stake in the combined company. Under the terms of the transaction, Xerion Retail Private Limited will also acquire Dafiti, Namshi and Zalora. The total consideration for all the transactions is $3.53 billion (€2.69 billion). Post transaction, the five entities will be merged and form a new entity Global Fashion Group (GFG). The GFG companies will continue to be led by their respective founders and management teams with a few select additions to the leadership team.

The Board of Directors of GFG will include Lorenzo Grabau, Chief Execuitve officer of Kinnevik as Chairman, Oliver Samwer, Chief Execuitve officer of Rocket as Deputy Chairman and representatives of the other largest shareholders. The agreed transaction is subject to binding rulings by fiscal authorities and antitrust approval. Transaction is expected to complete in late 2014.
