Macy?s Inc Enters into Agreement with Arkhouse Management

On April 10, 2024, Macy?s Inc announced that it has entered into agreement with Arkhouse Management Co LP, pursuant to the agreement the Company has appointed Richard Clark and Richard L. Markee to the Company?s Board of Directors, effective as of April 10, 2024, and has agreed to nominate and support?each of Clark and Markee for re-election at the 2024 annual meeting of shareholders. In addition, concurrently with and effective upon the execution of the agreement by the Company and Arkhouse Management, Arkhouse agreed that it will be deemed to have irrevocably withdrawn (i) the notice of nomination of candidates for election to the board of directors of the Company and stockholder proposals to be presented at the Company?s 2024 annual meeting of shareholders, (ii) the demands made pursuant to Section 220 of the General Corporation Law of the State of Delaware.

The principal private label brands offered by the Company include Alfani, And Now This, Aqua, Bar III, Belgique, Cerulean 6, Charter Club, Club Room, Epic Threads, Family PJ's, first impressions, Giani Bernini, Holiday Lane, Home Design, Hotel Collection, Hudson Park, Ideology, and others.
